WORLDS CHAT END USER LICENSE AGREEMENT

If you accept, Worlds, Inc. ("Worlds") grants you a nonexclusive, 
nontransferable license to use and copy (for your personal archival 
purposes only, and only if all of the Software's proprietary notices 
are included) the accompanying software product ("Software"), subject 
to the following terms and conditions:  

PROHIBITED ACTS:  You may not sell or transfer this Software (through 
any means such as rent, lease, distribute).  You may not modify, 
translate, reverse engineer, decompile, disassemble or create 
derivative works based on the Software (except to the extent applicable 
laws specifically prohibit such restriction).  Finally, you may not
remove any proprietary notices or labels on the Software.

EXPECTATIONS:  This license does not grant you any right to any 
enhancement or update to the Software or to continued access to the 
multiuser world accessible with this Software.  Worlds and its licensors
expressly retain their right to discontinue or modify the multiuser world
accessible with this software at any time, without notice.  

WARNING.  The 3D virtual world accessible with this Software exposes 
users to interactions, communication and content from many parties in a 
life-like "real time" experience.  In addition, links to other sites on 
the Internet may be accessible with or through this Software.  Such 
interactions, communications or content (whether within the 3D virtual 
world or accessible through the Software) is referred to generally as 
"Content."  Worlds and its licensors do not exercise any screening, 
editorial or other control over Content.  Users are advised that some 
Content may be distasteful, misleading, inaccurate, offensive, 
pornographic or otherwise objectionable.  In addition, Worlds and its 
licensors do not guarantee any privacy or confidentiality of any Content 
you make available through the Software.  In accepting this license, you
specifically acknowledge and agree to the above, and you release Worlds 
and its licensors from any liability for claims related to Content or 
privacy.

IMPORTANT DISCLAIMER.  This Software is provided on an "AS IS" basis, 
without  warranty of any kind, including without limitation the warranties 
of merchantability, fitness for a particular purpose and non-infringement.  
This disclaimer of warranty is an essential part of the agreement. SOME 
STATES DO NOT  ALLOW  EXCLUSIONS OF AN IMPLIED WARRANTY, SO THIS 
DISCLAIMER MAY NOT APPLY TO YOU  AND YOU MAY HAVE OTHER 
LEGAL RIGHTS THAT VARY FROM STATE TO STATE OR BY JURISDICTION.

LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES AND UNDER 
NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL 
WORLDS OR ITS LICENSORS, SUPPLIERS OR RESELLERS BE LIABLE 
TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, 
INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER.
THIS LIMITATION OF LIABILITY DOES NOT APPLY TO LIABILITY TO 
THE EXTENT APPLICABLE LAW PROHIBITS SUCH LIMITATION.

OWNERSHIP.   Worlds, its suppliers and licensors retain all title, 
ownership and intellectual property rights in the Software.  This 
Software is protected by United States and international copyright 
laws and treaties.  You may encounter other property with (or through) 
the use of this Software (for example, via links to the Internet).  
Title, ownership and intellectual property rights in any content or 
software accessed with the Software may be protected by applicable 
copyright or other law.  

TERMINATION.  If you fail to comply with the terms of this license, 
this license will terminate automatically and immediately.

EXPORT CONTROLS.   None of the Software or underlying information or  
technology may be downloaded or otherwise exported or re-exported into 
any country in which the U.S. has embargoed goods, or to anyone on 
the U.S. Treasury Department's list of Specially Designated Nationals 
or the U.S. Commerce Department's Table of Deny Orders.  By downloading 
or using the Software, you are agreeing to the foregoing and you are 
representing and warranting that you are not located in, under the 
control of, or a national or resident of any such country or on any 
such list.

MISCELLANEOUS. This end-user license represents the complete 
agreement concerning the Software between you, Worlds and its
licensors and can only be amended with a signed agreement between
the parties. If any provision of this Agreement is held to be 
unenforceable for any reason, such provision shall be reformed 
only to the extent necessary to make it enforceable.  This Agreement 
is governed by California law.
